Information Disclosure Criteria

Tsukishima Holdings Co., Ltd. and its affiliates (hereinafter the “Tsukishima Holdings Group”) fairly, timely, and appropriately disclose information in accordance with the Financial Instruments and Exchange Act, the Companies Act, and the Tokyo Stock Exchange Rules on Timely Disclosure of Corporate Information by Issuers of Listed Securities (hereinafter the “Timely Disclosure Rules”). We also actively disclose information that we deem to be beneficial for understanding by shareholders, investors, and other stakeholders, even when it is not covered by the Timely Disclosure Rules, etc.

Information disclosure method

Disclosure of information falling under the Timely Disclosure Rules is publicized through the timely disclosure circulation system (TDnet) offered by the Tokyo Stock Exchange. We post each piece of information publicized on TDnet on our website promptly.
We will provide information other than mentioned above that is considered useful to shareholders and investors by distributing a press release, publishing it on the website and other means as appropriate.

Quiet Period

From the perspectives of preventing leaks of settlement information and ensuring fairness of information disclosure, the Tsukishima Holdings Group has stipulated each quarter’s period from the settlement date until each date of announcement of financial results as an IR period of silence. During that period, we refrain from making replies and comments to questions related to settlement and earnings projections.
However, if during this quiet period we think it is likely that the actual results will differ substantially from previous forecasts, we will duly disclose information pursuant to the Timely Disclosure Rules.
